these terms of service (“terms”) form a binding agreement between you and 10517933 Canada Ltd., a canadian corporation operating as reeldrop.io(“reeldrop”, “we”, “us”). they govern your access to and use of reeldrop.io, our applications, and any related services (collectively, the “service”).
1. acceptance of these terms
by creating an account, signing in, connecting an instagram account, or otherwise using the service, you agree to be bound by these terms and by our privacy policy. if you do not agree, do not use the service.
2. eligibility
you must be at least 13 years old to use the service (or 16 if you live in the european economic area). you must have the legal capacity to enter into a contract, and you must not be barred from receiving the service under the laws of canada or your jurisdiction.
3. your account
authentication is handled by clerk. you are responsible for keeping your sign-in credentials safe and for any activity that takes place under your account. one human per account. notify us immediately at hello@reeldrop.io if you suspect unauthorised access.
4. acceptable use
you agree not to:
- use the service to send spam or to publish unsolicited bulk content.
- scrape instagram or any other platform outside of the integrations we provide.
- build automation that violates the meta platform terms or instagram community guidelines.
- upload, generate, or publish content that is illegal, infringing, defamatory, harassing, or that depicts the sexual exploitation of minors.
- attempt to reverse engineer, probe, or disrupt the service, or to circumvent our rate limits or security controls.
- use the service to impersonate another person or entity.
5. instagram and meta platform compliance
reeldrop publishes content to instagram on your behalf using the official instagram graph api. when you connect an instagram account, you also agree to the meta platform terms and instagram community guidelines. we never store your instagram password. you can revoke our access at any time from your instagram or facebook settings, or from inside reeldrop.
6. AI-generated content
our AI features use google gemini to generate captions, hashtags, and images. AI outputs are probabilistic and may contain inaccuracies, may inadvertently resemble third-party material, or may be unsuitable for your context. you are responsible for reviewing AI-generated content before publishing it. by using these features you grant us permission to send your prompts and uploaded media to google gemini for inference, subject to google’s terms.
7. your content and license to us
you retain ownership of the photos, videos, captions, and other content you upload or generate (“your content”). you represent that you have all rights necessary to upload, store, and publish your content via the service.
you grant reeldrop a worldwide, non-exclusive, royalty-free license to host, transcode, transmit, display, and publish your content solely for the purpose of operating the service and publishing on your behalf to your connected instagram account. this license ends when you delete the content or your account, except to the extent required by law or already published to instagram.
8. fees and subscriptions
reeldrop offers tiered plans (currently starter, creator, and studio; the active list and pricing live on our pricing page). paid plans renew automatically at the end of each billing period unless you cancel. you can cancel at any time from your account settings; cancellation takes effect at the end of the then-current billing period. except where required by law, fees are non-refundable for partial billing periods.
9. termination
you may delete your account at any time. see our data deletion page for instructions. we may suspend or terminate your account, with or without notice, if you breach these terms, if your activity poses a security risk, if we are required to do so by law, or if continued provision of the service to you becomes commercially unreasonable. on termination, your right to use the service ends immediately.
10. disclaimers
the service is provided “as is” and “as available”. to the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy or reliability of AI outputs. we do not warrant that the service will be uninterrupted, error-free, or compatible with future changes to the meta platform or any third-party api on which it depends.
11. limitation of liability
to the maximum extent permitted by law, reeldrop and its officers, directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with the service. our total aggregate liability for any claim arising under these terms is limited to the greater of (a) the fees you paid to reeldrop in the twelve months preceding the event giving rise to the claim, or (b) CA$100.
12. indemnification
you agree to indemnify and hold reeldrop harmless from any claim, demand, or damages, including reasonable legal fees, arising out of (a) your content, (b) your use of the service in violation of these terms, or (c) your violation of any law or any third-party right.
13. governing law and dispute resolution
these terms are governed by the laws of the province of ontario and the federal laws of canada applicable in ontario, without regard to conflict-of-laws principles. you and reeldrop submit to the exclusive jurisdiction of the courts of toronto, ontario for any dispute that is not required by law to be resolved elsewhere.
14. changes to these terms
we may update these terms from time to time. when we make material changes we will notify you by email, by an in-app banner, or by updating the “last updated” date below. your continued use of the service after a change takes effect means you accept the revised terms. if you do not agree, you must stop using the service.
15. miscellaneous
if any provision of these terms is held unenforceable, the remaining provisions remain in effect. our failure to enforce a right under these terms is not a waiver of that right. you may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. these terms, together with our privacy policy, are the entire agreement between you and reeldrop regarding the service.
